Llp Form 8 Late Fee (India, 2026)

LLP Form 8 is the annual Statement of Account and Solvency that every LLP must file with the Registrar of Companies, and it has a firm due date of 30 October each year. Miss it and the LLP pays an additional fee for every day of delay, with no upper cap, which is why a forgotten Form 8 can turn into a large bill. This guide explains what Form 8 is, when it is due, and how the late fee is worked out in 2026.

In short
  • What it is: Form 8 is the LLP Statement of Account and Solvency, filed yearly with the Registrar of Companies.
  • Due date: 30 October each year (30 days after six months from the 31 March year end).
  • Late fee: a per day additional fee, commonly Rs 100 per day, with no upper cap; confirm the current amount.
  • Small vs other LLP: small LLPs face a lower additional fee multiple under the 2022 Rules.
  • Separate from Form 11: Form 11 (Annual Return) is due by 30 May and carries its own late fee.
  • Even if dormant: an LLP that did no business must still file Form 8 on time.

01What LLP Form 8 is

Form 8 is the Statement of Account and Solvency of an LLP. It is filed with the Registrar of Companies under the LLP Act, 2008 and declares two things: the LLP's financial position for the year (a summary of assets and liabilities) and that the LLP is able to pay its debts.

Form 8 is separate from Form 11, which is the Annual Return. Every LLP must file both every year, even if the LLP did no business at all during the year.

Two annual forms, two dates

Form 11 (Annual Return) is due by 30 May. Form 8 (Statement of Account and Solvency) is due by 30 October. Both carry their own late fee, so missing one does not excuse the other. See the LLP annual filing due dates for the full calendar.

02Due date for Form 8

Form 8 is due within 30 days from the end of six months of the financial year. Since the financial year ends on 31 March, six months later is 30 September, and 30 days after that is 30 October.

So for a financial year ending 31 March, Form 8 must be filed by 30 October of the same calendar year. If 30 October is a holiday, file by the working day before to be safe.

03How the late fee is charged

If Form 8 is filed after the due date, an additional fee is charged on top of the normal filing fee. The additional fee runs per day of delay.

The commonly applied figure is Rs 100 per day of delay for Form 8, with no upper limit. Under the LLP (Amendment) Rules, 2022, the additional fee is set as a multiple of the normal filing fee based on how long the delay runs, and the multiple is lower for a small LLP than for other LLPs. Because the slab can change, confirm the live amount on the MCA portal before relying on a number.

04Small LLP vs other LLP

The late fee depends on whether your LLP is a small LLP. A small LLP is one whose contribution and turnover stay within the limits set in the Act. Small LLPs face a lower additional fee multiple than other LLPs for the same period of delay.

FactorPosition
Base per day additional feeCommonly Rs 100 per day of delay (confirm current amount)
Small LLPLower additional fee multiple under the 2022 Rules
Other LLPHigher additional fee multiple for the same delay
Upper capNo fixed upper cap on the per day additional fee for Form 8

Because there is no cap, the longer you wait the larger the bill, which is the single most important thing to understand about the Form 8 late fee.

05A worked example

Suppose a small LLP files Form 8 sixty days late and the per day additional fee that applies is Rs 100. The additional fee alone would be about Rs 6,000 (60 days multiplied by Rs 100), on top of the normal filing fee.

Stretch that delay to a full year and the same calculation produces a far larger figure. This is why LLPs that have stopped doing business should still file on time or formally close, rather than let the fee run.

There is no upper cap on the Form 8 per day additional fee, so a dormant LLP that keeps missing filings can build up a surprisingly large liability.

06Why on time filing matters

  • The cost keeps growing: with no cap, every extra day adds to the fee.
  • Director and partner consequences: persistent default can affect the standing of designated partners.
  • Closure needs clean filings: you cannot neatly strike off an LLP that has pending filings and unpaid fees.
  • Other costs too: like other registrations, an unrelated example is how a Gumasta licence carries its own fee cycle; compliance costs add up across registrations.

07How Claw Tax helps

Claw Tax and Accounts is an online tax, GST and accounting service for India that connects you with a verified chartered accountant at a fixed, published price, with a Claw reviewer checking every filing before it is submitted.

Filing Form 8 is something an LLP can do itself on the MCA portal, and for a simple set of accounts that is a fair do it yourself task. The risk is not the filing itself but forgetting the 30 October date, which with no cap on the late fee can get expensive.

With Claw Tax and Accounts LLP filing, a verified chartered accountant prepares and files Form 8 and Form 11, a Claw reviewer checks the figures before submission, and you get reminders well before each due date so the late fee never starts, at a fixed, published price. You approve first.

This is general information, not legal or tax advice; a verified professional handles the specifics of your LLP, and fee slabs may change as the rules are updated.

08Frequently asked questions

What is the late fee for LLP Form 8?

Form 8 filed after the due date attracts an additional fee on top of the normal filing fee, commonly applied as Rs 100 per day of delay with no upper cap. Under the LLP (Amendment) Rules, 2022, the additional fee follows a slab based on the length of delay, lower for small LLPs. Confirm the live amount on the MCA portal.

What is the due date for LLP Form 8?

Form 8 is due within 30 days from the end of six months of the financial year. For a financial year ending 31 March, that date is 30 October of the same calendar year. If it falls on a holiday, file by the preceding working day.

Is there a maximum limit on the Form 8 late fee?

There is no fixed upper cap on the per day additional fee for Form 8. Because the fee keeps running for every day of delay, a long delay can build up a large liability, which is why on time filing or formal closure matters for dormant LLPs.

Does a small LLP pay a lower Form 8 late fee?

Yes. Under the LLP (Amendment) Rules, 2022, a small LLP (one within the contribution and turnover limits set in the Act) faces a lower additional fee multiple than other LLPs for the same period of delay. Confirm the current slab before relying on a figure.

Do I have to file Form 8 if my LLP did no business?

Yes. Every LLP must file Form 8 and Form 11 every year regardless of whether it had any business activity. A dormant LLP that keeps missing filings builds up late fees with no cap, so it should either file on time or be formally closed.

Is Form 8 the same as Form 11?

No. Form 8 is the Statement of Account and Solvency, due by 30 October. Form 11 is the Annual Return, due by 30 May. Both are compulsory every year and each carries its own late fee, so filing one does not excuse the other.
