These Terms & Conditions apply to all users of Claw, including free users, trial users, demo users, and paid/subscribed clients. Certain clauses apply specifically to paid clients, as explicitly mentioned.

1. Definitions

• “Claw” / “Service Provider” means Claw LegalTech Private Limited.
• “Client” / “User” means any individual, firm, company, or entity purchasing or using Claw’s paid services.
• “Services” include all software products, features, modules, APIs, dashboards, AI tools, and related support offered by Claw.

2. Scope of Services

• Claw provides software-based legal technology solutions to both paid and non-paid users, including free trials, demos, limited-access versions, and fully paid subscriptions.
• Access level, features, limits, and usage rights may vary based on the user’s plan or entitlement. Claw provides software-based legal technology solutions on a subscription, license, or usage basis, as agreed at the time of purchase. The exact scope of services depends on the plan, proposal, or invoice issued to the Client.

3. Fees, Payments & Taxes (Applicable to Paid Clients Only)

• All fees are payable in advance, unless otherwise agreed in writing.
• Fees mentioned are exclusive of applicable taxes (including GST), unless explicitly stated.
• Any delay or failure in payment may result in temporary suspension or termination of Services without prior notice.

4. No Refund Policy (Applicable to Paid Clients Only)

• All payments made to Claw are strictly non-refundable under all circumstances.
• This includes, but is not limited to:
  • Change of mind
  • Partial usage of Services
  • Dissatisfaction with features
  • Non-usage of the product
  • Business, operational, or internal issues of the Client

5. Support, Issue Resolution & Service Requests

• Support response times, priority handling, and service-level commitments may differ for free users and paid clients.
• Free or trial users are not entitled to guaranteed response timelines.
• Any issue must be raised via Claw’s officially designated support channel.
• Claw shall review and respond within up to 7 (seven) working days, depending on the priority, severity, and complexity of the issue.
• Resolution timelines may vary based on:
  • Nature of the issue
  • Dependency on third-party services
  • Infrastructure constraints
  • Data availability

Claw does not guarantee uninterrupted availability or immediate resolution.

6. Feature Updates & Additional Services

• Feature availability may differ between free and paid users.
• Claw reserves the right to restrict, modify, or discontinue free features at any time without notice.
• Any new features, modules, integrations, or services introduced by Claw shall be:
  • At the sole discretion of Claw, and
  • May be offered at additional cost, separate from the existing plan.
• The Client has the right to opt out of any such additional paid feature.
• Opting out shall not affect access to already purchased Services, unless explicitly stated.

7. Data Confidentiality & Privacy

• Data confidentiality obligations apply to all users, whether paid or non-paid.
• All data, documents, inputs, and information shared by the Client shall remain strictly confidential.
• Claw shall not sell, rent, or disclose Client data to any third party, except:
  • Where required by law, regulation, or court order
  • For essential infrastructure providers operating under confidentiality obligations
• Responsibility for the accuracy, legality, and ownership of uploaded data lies solely with the Client.

8. Intellectual Property Rights

• All software, source code, algorithms, workflows, AI models, interfaces, and documentation are the exclusive intellectual property of Claw.
• The Client is granted a limited, non-exclusive, non-transferable, revocable license to use the Services for internal business purposes only.
• Reverse engineering, copying, sublicensing, redistribution, or resale is strictly prohibited.

9. AI Output & Legal Disclaimer (Applicable to All Users)

• AI-generated outputs, insights, drafts, or suggestions provided by Claw are assistive in nature only.
• Such outputs do not constitute legal advice, legal opinion, or professional assurance.
• Final responsibility for verification, interpretation, filing, and legal usage lies solely with the Client or their legal counsel.
• Claw shall not be liable for any legal outcome, court decision, or action taken based on AI-generated outputs.

10. Fair Usage & Abuse Prevention (Applicable to All Users)

• The Client agrees to use the Services in a fair and lawful manner.
• The following are strictly prohibited:
  • Automated scraping or bulk extraction of data
  • System abuse, reverse engineering, or circumvention of safeguards
  • Usage that degrades platform performance for other users
• Claw reserves the right to monitor usage patterns and suspend access in case of abuse, without refund.

11. Service Availability & Downtime (Applicable to All Users)

• Services are provided on a best-effort basis.
• Temporary downtime may occur due to:
  • Scheduled maintenance or upgrades
  • Infrastructure or third-party service failures
  • Security or compliance requirements
• Such downtime shall not be treated as a breach of contract or grounds for refund or compensation.

12. Force Majeure

Claw shall not be liable for failure or delay in performance due to events beyond reasonable control, including but not limited to:

• Natural disasters
• Government actions or court orders
• Internet, cloud, or infrastructure outages
• Cybersecurity incidents

13. Change in Law & Regulatory Compliance

• Legal and regulatory frameworks may change over time.
• Claw may update its Services, workflows, or features to comply with new laws or regulations.
• Such updates shall not entitle the Client to any refund or compensation.

14. Audit, Monitoring & Security

• Claw may conduct system-level audits and usage monitoring to:
  • Ensure compliance with these Terms
  • Prevent misuse or security threats
• Such monitoring shall be limited to operational and security purposes and shall not violate data confidentiality obligations.

15. Limitation of Liability

• For non-paid users, Claw shall have no monetary liability whatsoever.
• For paid clients, liability is limited as specified below.
• Claw shall not be liable for:
  • Loss of profits, revenue, data, or business opportunities
  • Indirect, incidental, or consequential damages
• Total liability, if any, shall be limited to the amount paid by the Client in the immediately preceding billing cycle.

16. Termination

• Claw reserves the right to suspend or terminate Services if:
  • These Terms are violated
  • Payments are delayed or defaulted
  • Services are misused or abused
• No refund shall be applicable upon termination.

17. Governing Law & Jurisdiction

• These Terms shall be governed by the laws of India.
• Courts at Ahmedabad, Gujarat shall have exclusive jurisdiction.

18. Acceptance

Payment of the invoice and/or continued use of the Services constitutes full and binding acceptance of these Terms & Conditions.
