What Makes a Contract Void in India (2026)

People often say a contract is void when they really mean it can be challenged. The two are not the same, and the difference decides whether you can sue on the contract at all. A void agreement creates no legal obligation from the start, so no one can enforce it. A voidable contract is valid and binding until the affected party chooses to set it aside. The Indian Contract Act 1872 lists the situations that make an agreement void, and separately the situations that only make a contract voidable. This explainer sets out what makes a contract void, how it differs from voidable and valid, and what a void contract means in practice. Last verified October 2026.

What makes a contract void in short
  • Void means unenforceable: a void agreement creates no legal obligation and gives no right to sue, under Section 2(g).
  • Void from the start: unlawful object or consideration, no consideration, restraint of marriage, trade or legal proceedings, uncertainty, and wagers.
  • Mutual mistake: an agreement is void under Section 20 where both parties are mistaken about an essential fact.
  • Becomes void later: a contract made impossible or unlawful by a later event becomes void under Section 56.
  • Not the same as voidable: consent by coercion, fraud, misrepresentation or undue influence makes a contract voidable under Sections 19 and 19A, valid until set aside.

01Void, voidable and valid

Start with the three words, because they carry different consequences.

TypeWhat it meansCan you sue on it?
ValidMeets all the requirements of a contract and binds both sidesYes, it is fully enforceable
VoidableValid and binding until the affected party chooses to set it asideYes, unless and until it is avoided
VoidNot enforceable by law at all, as if no contract was madeNo, it gives no right to enforce

Section 2(g) of the Indian Contract Act 1872 defines a void agreement as an agreement not enforceable by law. Section 2(j) adds that a contract which was valid but later ceases to be enforceable becomes void. A voidable contract, by contrast, is defined in Section 2(i): it is enforceable at the option of one party but not the other.

02What the Act requires for a valid contract

To see what makes a contract void, it helps to know what a valid one needs. Section 10 says all agreements are contracts if they are made by the free consent of parties competent to contract, for a lawful consideration and with a lawful object, and are not expressly declared to be void.

So a contract can fail for want of any of these: the parties were not competent, for example a minor or a person of unsound mind; there was no lawful consideration or object; or the agreement is one the Act itself declares void. The Act then lists specific categories of void agreements, which are the heart of this topic.

03Agreements void from the start

Several sections of the Act declare an agreement void from the very beginning:

  • Unlawful consideration or object (Sections 23 and 24). If what is promised or its purpose is forbidden by law, would defeat the law, is fraudulent, injures a person or property, or is immoral or against public policy, the agreement is void.
  • No consideration (Section 25). An agreement without consideration is void, subject to exceptions such as natural love and affection recorded in writing and registered, or a promise to pay a time-barred debt.
  • Restraint of marriage (Section 26). An agreement that restrains the marriage of any person, other than a minor, is void.
  • Restraint of trade (Section 27). An agreement that restrains anyone from carrying on a lawful trade, profession or business is void, with a limited exception for the sale of goodwill.
  • Restraint of legal proceedings (Section 28). An agreement that absolutely restricts a party from enforcing their rights through the ordinary courts, or that limits the time to do so, is void to that extent.
  • Wagering agreements (Section 30). Agreements by way of wager are void, and no suit lies to recover anything won on a wager.

These are agreements the law simply refuses to back, however clearly the parties agreed to them.

04Mistake and uncertainty

Two more situations make an agreement void:

  • Mutual mistake of fact (Section 20). Where both parties to an agreement are under a mistake as to a matter of fact essential to the agreement, the agreement is void. Note that a mistake by only one party, or a mistake of law in force in India, does not have this effect.
  • Uncertain agreements (Section 29). Agreements whose meaning is not certain, or cannot be made certain, are void. If the core terms are too vague to work out what the parties agreed, there is nothing the court can enforce.
A contract can be void because the law forbids it, because its terms are too uncertain to enforce, or because both sides were mistaken about an essential fact.

Uncertainty is a common trap in hastily drafted deals. If a key term such as price, quantity or duration is left open and cannot be worked out, the agreement may be void for uncertainty even though both sides thought they had a contract.

05Contracts that become void later

A contract can start out valid and later become void. The main route is supervening impossibility under Section 56. If, after the contract is made, performance becomes impossible or unlawful because of an event the promisor could not prevent, the contract becomes void when the act becomes impossible or unlawful.

This is the frustration doctrine. It is narrow: a contract does not become void just because performance has become harder or more expensive, only where a fundamental change makes it impossible or unlawful. For how this lets a party treat the contract as at an end, see how to terminate a contract legally.

06Void versus voidable: why it matters

The line between void and voidable decides your rights, so keep it clear. The classic confusion is over defective consent. Where consent was obtained by coercion, fraud or misrepresentation, the contract is voidable under Section 19, not void, and where it was obtained by undue influence it is voidable under Section 19A. That means the affected party can choose to set it aside, but until they do, the contract is valid and binding.

The practical consequences differ:

  • A void agreement gives no right to sue on the contract. If you paid under it, your remedy is usually restitution, not enforcement.
  • A voidable contract can be enforced or set aside at the option of the wronged party, and if it is lawfully set aside, compensation may follow.

So before you sue on a contract, or defend against one, work out which bucket it falls in. If the agreement is void, a damages claim on it will not get off the ground; if it is voidable, you may still be able to enforce it or claim damages for breach of contract.

07Where Claw fits

Claw is an all-in-one legaltech platform for Indian advocates, law firms, and corporate legal teams, combining AI-based case search, an AI legal assistant (Legal GPT), case management, and compliance automation across all Indian courts and tribunals.

Whether a clause is void for restraint of trade, whether an agreement is too uncertain to enforce, and where courts draw the line between void and voidable are questions decided on precedent that keeps developing. Claw lets you search 30 crore+ judgments, with Supreme Court decisions from 1950 and High Court decisions from 1990, returning results in under 5 seconds, so you can see how courts have read Sections 23 to 30 and the difference between void and voidable before you rely on, or attack, an agreement. If the dispute reaches court, Claw tracks the resulting contract and commercial court matters across 9,102 courts, benches and forums, with alerts when a new matter is filed or a hearing is listed, so you can follow it by party name. You can also run a case search across Indian courts by party name to see a counterparty's litigation history. Claw does not use your searches or documents to train its AI models. A clean search means nothing was found on the forums covered on the date searched under the names you used, and this is general information, not legal advice.

09Frequently asked questions

What is the difference between a void and a voidable contract?

A void agreement is not enforceable by law at all, as if no contract was made, under Section 2(g). A voidable contract is valid and binding until the party entitled to do so chooses to set it aside, for example where consent was obtained by coercion, fraud or misrepresentation under Section 19. So a void contract gives no right to sue, while a voidable one can be enforced unless and until it is avoided.

Which agreements does the Indian Contract Act treat as void?

The Act declares several agreements void, including those with an unlawful object or consideration (Sections 23 and 24), without consideration (Section 25), in restraint of marriage (Section 26), of trade (Section 27) or of legal proceedings (Section 28), uncertain agreements (Section 29), and wagers (Section 30). An agreement under a mutual mistake of essential fact is void under Section 20.

Is a contract with a minor void in India?

A contract requires parties competent to contract under Section 10, and a minor is not competent, so an agreement with a minor is generally treated as void from the start and cannot be enforced against the minor. Take specific advice, because the position on benefits received and on ratification after majority has its own rules.

Can a contract become void after it is signed?

Yes. Under Section 56, a contract becomes void if performance later becomes impossible or unlawful because of an event the promisor could not prevent. This frustration doctrine is narrow and does not apply merely because performance has become harder or costlier.

Can I claim damages on a void contract?

Generally no. A void agreement gives no right to enforce it, so a damages claim on the contract does not succeed. Your remedy for money paid under a void agreement is usually restitution. If the contract is only voidable, you may still enforce it or, if you lawfully set it aside, claim compensation.
