How to Get a Shop and Establishment Licence in Uttar Pradesh
A shop or commercial establishment in Uttar Pradesh is registered under the UP Dookan Aur Vanijya Adhishthan Adhiniyam 1962 (the UP Shops and Commercial Establishments Act), and the registration is done online through the state Nivesh Mitra single window portal run with the UP Labour Department. The registration fixes your working hours, weekly off, leave and employee records obligations, and the certificate is what banks, GST officers and marketplaces often ask to see as proof that the business is a real, compliant establishment. This page sets out exactly how to apply on Nivesh Mitra, the documents you must upload, how the fee is worked out, how renewal works, and what to do if the Labour Department rejects, delays or later cancels your registration. Last verified October 2026.

01Who needs to register
The UP Act covers shops and commercial establishments across the state. In plain terms, if you run a shop, an office, a store, a godown, a hotel, a restaurant, a theatre or any other commercial place of work that employs people, you are expected to register under the Act.
- Shops: retail or wholesale trading, or a place where services are rendered to customers.
- Commercial establishments: offices, trading or banking establishments, and places of public entertainment or amusement.
- Timing: you are expected to register soon after the establishment starts working, so do it at the start rather than wait for an inspection.
Note that India's four labour codes came into force on 21 November 2025, and the Occupational Safety, Health and Working Conditions Code 2020 reshapes parts of establishment compliance. Shops and establishment registration still runs through the state Act and the state portal, so confirm the current form and fee on Nivesh Mitra before you file.
02Documents you need
Keep soft copies ready before you log in, because Nivesh Mitra will ask you to upload them in one go:
- PAN of the proprietor, firm or company.
- Identity and address proof of the employer or authorised signatory (Aadhaar, voter ID or similar).
- Proof of the business premises (rent agreement, electricity bill or ownership proof).
- Photograph of the employer and, where asked, of the establishment.
- Details of the establishment: name, nature of business, date of commencement, and the number of employees.
- For a company or LLP, the incorporation certificate; for a partnership, the partnership deed.
Make sure the establishment name and address match your other records (GST, electricity, rent deed), because a mismatch is the most common reason a file is sent back.
03Apply on Nivesh Mitra, step by step
Registration in UP is done through the state single window, not a standalone labour site:
- Step 1. Go to the Nivesh Mitra portal at niveshmitra.up.nic.in and create an entrepreneur login with your email and mobile.
- Step 2. From the list of departmental services, select the Labour Department service for registration of a shop or commercial establishment.
- Step 3. Fill the establishment details, employer details and employee count, then upload the documents listed above.
- Step 4. Pay the fee online through the portal gateway.
- Step 5. Submit. You can track the application status on the same dashboard, and the Labour Department issues the registration certificate electronically, which you can download and print.
Apply only on the official niveshmitra.up.nic.in portal. Private agents charging a "government fee" are not the government, and the certificate is a free download once the department approves the file.

04Fee, certificate and renewal
The registration fee under the UP Act is worked out mainly on the number of employees, so a one-person shop pays the least and a larger establishment pays more. The current slab and any renewal cycle are shown on Nivesh Mitra at the time you file.
Once approved, the certificate carries your registration number and must be displayed at the establishment. Keep the login details safe, because renewal, amendments (change of name, address or employee count) and closure are all done through the same portal account.
05Common problems and fixes
| Problem | Why it happens | Fix |
|---|---|---|
| File sent back for correction | Name or address does not match the uploaded proof | Re-upload a matching document and resubmit on the same application |
| Payment made, no certificate | Transaction pending or file still under review | Check the Nivesh Mitra dashboard status; keep the payment reference |
| Wrong employee count | Business grew after registration | File an amendment through the portal and pay any differential fee |
| Inspection notice | Routine or complaint-based labour inspection | Produce the certificate, wage and leave registers; respond in writing to any notice |
Most issues are document or data mismatches and are fixed inside the portal. A notice or a cancellation is a different matter, covered next.
06If the Labour Department says no
If the Labour Department rejects your registration, cancels an existing one, or imposes a penalty you believe is wrong, you are not stuck with that order. The UP Act and the general scheme of labour administration give you a route to challenge it:
- Reply to the notice first. Answer any show cause notice in writing, with proof, before the deadline. Many orders are dropped at this stage.
- Statutory appeal. An order of the registering or inspecting authority can be taken in appeal to the designated appellate authority under the Act or the labour administration above it.
- Labour court or writ. If the appellate authority also rules against you, or the action is without jurisdiction, the matter can reach the labour court or the Allahabad High Court (or its Lucknow Bench) by writ.
Once a rejection becomes an appeal or a writ, it is a live legal matter with hearings, dates and orders you need to follow. Keep the exact section and forum on your copy of the order, and confirm the appellate authority named in the current notice.
07Track an appeal or a case with Claw
Claw is an all-in-one legaltech platform for Indian advocates, law firms, and corporate legal teams, combining AI-based case search, an AI legal assistant (Legal GPT), case management, and compliance automation across all Indian courts and tribunals.
If your shop and establishment registration turns into a dispute, a rejection you appeal, a penalty you challenge, or a writ in the High Court, that is exactly the kind of matter Claw is built to follow. You can create a FREE Claw account and track the case across the court or tribunal that hears it, with Claw covering 9,102 courts, benches and forums including the Allahabad High Court and its Lucknow Bench. Claw returns results in under 5 seconds, its judgment search spans 30 crore+ judgments (Supreme Court from 1950 and High Courts from 1990) so your advocate can see how similar labour and licensing orders were decided, and Claw does not train its AI models on your documents. This is general information, not legal advice on your specific order.
Before you brief an advocate, you can run a case search across Indian courts to see related labour and licensing matters. For the compliance side of running a business, see the DPDP Act 2023 for businesses.

09Frequently asked questions
Is a shop and establishment registration mandatory in Uttar Pradesh?
If you run a shop or commercial establishment that employs people in UP, you are expected to register under the UP Dookan Aur Vanijya Adhishthan Adhiniyam 1962. It is also the proof banks, GST officers and marketplaces often ask for, so register at the start of the business rather than wait for an inspection.
Which website do I use?
Use the state single window, Nivesh Mitra, at niveshmitra.up.nic.in, and choose the Labour Department service for shop and commercial establishment registration. Avoid private sites that charge a "government fee"; the certificate is a free download once the department approves your file.
How much does it cost?
The fee is worked out mainly on the number of employees, so a very small shop pays the least. The exact slab and any renewal period are shown on Nivesh Mitra when you file, so check the current figure there before paying.
What if my registration is rejected or cancelled?
First reply in writing to any show cause notice with proof. If the order still goes against you, there is a statutory appeal to the designated appellate authority, and beyond that the labour court or a writ to the Allahabad High Court or its Lucknow Bench. Confirm the exact authority and deadline named on your order.
Do the new labour codes change this?
The four labour codes came into force on 21 November 2025, and the Occupational Safety, Health and Working Conditions Code 2020 reshapes parts of establishment compliance. Registration still runs through the state Act and Nivesh Mitra, so confirm the current form and fee on the portal before filing.
Can I track a licensing appeal online?
Yes. Once a rejection or penalty becomes an appeal or a writ, it is a live case with hearing dates. You can create a free Claw account and track it across the court or tribunal that hears it, including the Allahabad High Court and its Lucknow Bench.
