How to Find a Lawyer for A Sale Agreement in India

A sale agreement sets out the terms on which a property will be sold before the final sale deed. Get the legal drafting wrong and you can lose your advance, inherit a title dispute, or be stuck without a clear exit. For most buyers and sellers, this is one document where a lawyer is clearly worth it. This guide explains how to find the right lawyer for a sale agreement, the title checks that come first, what it costs, the documents you need, and how to confirm the advocate is genuine.

Sale agreement, in short
  • What it is: the terms on which a property will be sold, usually before the final sale deed.
  • Title first: a lawyer should verify the seller's title and encumbrance before drafting.
  • Key clause: what happens to the advance if either side fails to complete.
  • Fees: no fixed rate; usually higher than a simple document because of title checks. Confirm with the lawyer. Stamp duty is separate.
  • Free help: NALSA, SLSA and DLSA under the Legal Services Authorities Act, 1987.
  • Verify: Bar Council enrolment under the Advocates Act, 1961.

01What a sale agreement is

A sale agreement, sometimes called an agreement to sell, records the terms on which a property will be transferred: the price, the payment schedule, the timeline, and what happens if either side backs out. It usually comes before the final sale deed, which actually transfers ownership. A clear sale agreement protects your advance and sets the rules for the deal.

Sale agreement vs sale deed

A sale agreement is a promise to sell on agreed terms. The sale deed is the document that transfers ownership and is registered. You often need both, and a lawyer handles the legal drafting of each.

02Why title checks come first

Before any sale agreement is drafted, the lawyer should check that the seller actually owns the property and can sell it. This due diligence includes the title chain, the encumbrance certificate, tax and utility receipts, and the approved plan. If the title is not clean, no amount of good drafting will save the deal.

This is the single biggest reason a sale agreement needs a lawyer rather than a template. A template cannot check title; an advocate can.

03The process

  1. Agree the main terms: price, advance, payment schedule, possession date.
  2. Find a lawyer who handles sale agreement and property legal drafting.
  3. Title due diligence by the lawyer before drafting.
  4. Draft the sale agreement with clear payment, default, possession and dispute clauses.
  5. Review and sign the sale agreement; pay any stamp duty that applies.
  6. Proceed to the sale deed and registration when the conditions are met.

04Stamp duty and registration

Stamp duty on a sale agreement varies by state; some states charge a small duty on the agreement and the main duty on the final sale deed. The sale deed itself is registered at the Sub-Registrar under the Registration Act, 1908, and attracts the bigger stamp duty and registration fee. Your lawyer tells you the exact amounts for your state, and these are paid to the state, separate from the lawyer's fee.

A good sale agreement spells out exactly what happens to the advance if either side fails to complete. That one clause prevents most property disputes.

05What it costs

There is no single government fixed fee for a sale agreement. The lawyer's charge depends on the city, the lawyer's seniority, the value of the property and how much title due diligence is needed. Because a sale agreement involves title checks and careful clauses, it usually costs more than a simple rent agreement or affidavit. Treat figures as typical ranges that vary, and confirm with the lawyer before work starts. Stamp duty and registration fees are separate and go to the state.

If you cannot afford a private lawyer, free legal aid under the Legal Services Authorities Act, 1987 (Sections 12 and 13) is available through NALSA and the State and District Legal Services Authorities for those who qualify. Check at your District Legal Services Authority or nalsa.gov.in.

06Documents you need and verifying the lawyer

Carry: the title chain, latest tax and utility receipts, approved plan, encumbrance certificate, identity proof of both parties, and the agreed price and payment schedule.

Verify the lawyer: listed is not the same as verified, and verified is not the same as entitled to practise. What matters is enrolment with a State Bar Council under the Advocates Act, 1961 (Section 22 covers the certificate of enrolment). Ask for the enrolment number and confirm it with that Bar Council. 08Frequently asked questions

What is the difference between a sale agreement and a sale deed?

A sale agreement records the terms on which a property will be sold, including price and payment schedule. The sale deed is the document that actually transfers ownership and is registered at the Sub-Registrar. You often need both, and a lawyer drafts each.

Why do I need a lawyer for a sale agreement?

Because the first job is checking the seller's title and encumbrance, which a template cannot do. A lawyer verifies ownership, then drafts clear payment, default, possession and dispute clauses. For a property deal, that protects your advance and reduces the chance of a costly dispute.

Is a sale agreement registered?

In some states a small stamp duty applies to the sale agreement, while the main stamp duty and registration apply to the final sale deed, which is registered at the Sub-Registrar under the Registration Act, 1908. Your lawyer will tell you what your state requires.

How much does a lawyer charge for a sale agreement?

There is no fixed national fee. Cost depends on the city, the lawyer's seniority, the property value and the title work involved. Because of the due diligence, a sale agreement usually costs more than a rent agreement or affidavit. Treat any figure as a range and confirm with the lawyer. Stamp duty and registration are separate.

What should a sale agreement protect me against?

It should make clear what happens if either side backs out, how and when the advance is paid or refunded, the possession date, and how disputes are handled. A clear default clause on the advance prevents most property disputes.
